Currenc Group has reinstated its share purchase agreement to sell a 60% stake in Tranglo to New Margin Holding for $400 million, and the parties agreed in principle to a purchase of 100% of Tranglo for about $666.7 million. The reinstatement letter is dated 29 October and extends the longstop date to 31 March 2027. The original agreement had lapsed when conditions were not met by 30 September.
Under the 60% deal, $200 million is paid at closing and $200 million within 90 days. About $266.7 million of the 100% price would go to Ripple Markets APAC, which holds the other 40% and is not a party to the letter. A separate tripartite agreement is targeted for 31 December 2026.
Tranglo is a cross-border payment hub for remittances, business payments and mobile top-ups, and accounted for a majority of Currenc's 2025 revenue. New Margin is the vehicle of private equity firm NewMargin Ventures. Currenc warns that completion is not assured.
